Terms of Service

By accessing and using the DevGlim website and engineering services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our services.

These Terms of Service apply to all visitors, clients, and partners who access or engage our digital engineering capabilities. By accessing or using our services, you agree to be bound by these Terms.

DevGlim provides custom software engineering, AI copilot development, SaaS product design, cloud architecture, and automation services. The specific scope, deliverables, timeline, and pricing for each project will be defined in a separate Statement of Work (SOW) or service agreement.

We reserve the right to modify, suspend, or upgrade any part of our web services or infrastructure at any time. We shall not be liable to you or any third party for any modification, suspension, or temporary maintenance downtime of our public web applications.

Upon full payment of all invoice fees under an active SOW, DevGlim assigns to the client all rights, title, and ownership interest in the custom software deliverables specifically created for that client.

DevGlim retains all rights to pre-existing core frameworks, internal utilities, reusable open-source integrations, and proprietary development tooling used in delivering the project.

The client is responsible for providing timely access to necessary API credentials, brand assets, product specifications, and feedback required for project execution. Delays in client feedback may adjust milestone timelines.

The client warrants that all text, media, assets, and data provided to DevGlim for inclusion in software deliverables do not violate third-party copyrights, trademarks, or confidentiality agreements.

Payment terms are specified in each project Statement of Work (SOW). Unless otherwise agreed in writing, invoices are issued according to sprint milestones or monthly billing cycles and are due within fifteen (15) days of receipt.

Late payments may incur a finance charge of 1.5% per month on outstanding balances. DevGlim reserves the right to pause active development sprints if payments exceed thirty (30) days overdue.

Both parties agree to maintain strict confidentiality regarding all non-public technical specifications, trade secrets, business logic, source code, and user data disclosed during the engagement.

Confidential information shall be protected with the same degree of care as the receiving party uses for its own confidential information, but in no event less than a reasonable standard of care.

To the maximum extent permitted by applicable law, DevGlim shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits or revenues resulting from your reliance on our web services.

In no event shall DevGlim total aggregate liability under any project engagement exceed the total fees paid by the client to DevGlim during the twelve (12) months preceding the claim.

Either party may terminate an ongoing SOW with thirty (30) days prior written notice. Upon termination, the client shall pay for all completed engineering milestones up to the effective termination date.

DevGlim may terminate or suspend access to client staging servers immediately if a client breaches non-disclosure agreements, security policies, or payment terms.

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any legal disputes shall be resolved in competent courts holding primary jurisdiction.
